1. Agreement
These Terms govern your use of Brain Teams, a service operated by Optimus Data Lab, Inc. ("we", "us"). By creating a workspace you agree to these Terms.
2. The service
Brain Teams is a business-to-business hosted service that stores distilled team memories synced from members' machines and lets teammates search them from coding agents. The open-source local brain is licensed separately.
3. Accounts
You must be a business or acting on behalf of one. You are responsible for your workspace, its members, and keeping API keys secret.
4. Subscriptions and billing
Paid plans are billed monthly per active seat via our payment processor. Trials are free for 14 days. Subscriptions renew automatically until cancelled. You may cancel anytime; access continues to the end of the paid period. Fees for partial periods are not refunded; downgrades receive prorated credit.
5. Acceptable use
Do not use the service to store unlawful content, infringe others' rights, attempt to breach tenant isolation, or resell the service without permission.
6. Customer data and ownership
You own the memories you sync. You grant us the limited rights needed to host and serve them to your workspace. Raw transcripts are never uploaded by the service.
7. Confidentiality and security
We isolate each organization's data and apply reasonable security measures. No method of storage is perfectly secure.
8. Disclaimers
The service is provided "as is" without warranties of any kind to the extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months before the claim.
10. Termination
Either party may terminate as described here; we may suspend accounts that violate these Terms.
11. Changes
We may update these Terms; material changes will be notified. Continued use means acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA.
